Shoes For Crews North America, LLC (SFC) is a dynamic designer, manufacturer and business-to-business marketer of the most technologically advanced, top-rated slip-resistant footwear for the foodservice, hospitality, industrial, and healthcare workplaces. This position is responsible for providing the day-to-day legal assistance. Additionally, the corporate staff attorney will partner with various cross-functional teams throughout the company to provide legal support in several areas of practice including but not limited to employment law, contracts, IP, corporate governance and marketing.
Job Responsibilities:
Prepare, review, and/or negotiate contracts, licenses, and other legal documents of all kinds (i.e. NDAs, Vendor Compliance Forms, Consulting Agreements and Supply Agreements).
Provide legal advice to management with respect to any pending legal issue and draft necessary documents to protect the company’s interests.
Review proposed and existing legislation affecting the company and provide legal advice accordingly.
Conduct legal research of laws and regulations applicable to the Company and its operations.
Anticipate and guard against legal risks involving the organization.
Develop, implement, and monitor policies, practices, and training to ensure compliance with legal requirements.
Organize and maintain contracts database.
Management corporate ethics and compliance program, including the distribution, collection and maintenance of annual compliance certifications.
Prepare all notices, certificates and reports required by governmental authorities to maintain the legal existence and good standing of all corporate entities, including annual reports.
Partner with external counsel and manage relationships
Assist with corporate entity maintenance, including filing annual reports, creating, organizing and maintenance of corporate minute books.
Utilize independent judgment and decision-making skills to resolve legal issues.
Perform such other related duties.
Education/Experience:
JD
Active member of the Florida Bar (or eligible for admission as authorized In-House Counsel)
4-7 years’ experience as Staff or Corporate Attorney
Must have experience with a broad range of business transactional matters, including counseling, negotiating and document/contract drafting and review
Experience in some combination of the following areas of law required: general corporate, intellectual property and/or employment and benefits
Must be customer-focused and detail-oriented
Ability to make good decisions based upon a mixture of analysis, wisdom, experience, business acumen and judgment
Must be a proven problem solver and able to read situations quickly
Excellent time management, planning and organizational skills and the ability to manage multiple and changing priorities efficiently and effectively in a fast-paced environment
Ability to contribute individually with minimal supervision and as part of a team exhibiting a high level of initiative and follow-through on assignments
Ability to engage and manage outside counsel.
Ability to interact directly with the company's leadership, proposing practical and creative solutions to complex business issues and providing pragmatic risk assessments
Ability to work collaboratively across multiple functions, organizations and with a diverse group of colleagues at all levels
Excellent writing and communication skills, particularly to assist a non-legal audience in understanding legal and regulatory requirements
Forward thinking, creative, and confident
Clear understanding and adherence to ethical principles, company values, code of conduct and policies
Solid PC skills including knowledge of MS Office (Word, Excel, PowerPoint)
